TRADEOFF TERMS OF SERVICE

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE TRADEOFF PLATFORM. BY CREATING AN ACCOUNT OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS.
AVAILABILITY: TradeOff is currently available only in Texas, Florida, Nevada, Wyoming, South Dakota, Tennessee, Idaho, and Montana.

1. PLATFORM NATURE — NOT A CONTRACTOR REFERRAL SERVICE
TradeOff is a peer-to-peer marketplace that allows independent tradespeople to connect and arrange skill-for-skill or skill-for-item barter exchanges. TradeOff is NOT:
• A licensed contractor referral service
• A staffing or employment agency
• An employer of any tradesperson listed on the platform
• A party to any work agreement between users
TradeOff is currently available in Texas, Florida, Nevada, Wyoming, South Dakota, Tennessee, Idaho, and Montana only. None of these states impose a specific licensing or registration requirement on digital peer-to-peer barter marketplace platforms that facilitate direct connections between independent tradespeople. TradeOff does not solicit work on behalf of any user, does not negotiate trade terms, does not schedule work, and is not a party to any agreement between users. Availability will expand to additional states as legal requirements in those states are reviewed.

2. INDEPENDENT CONTRACTOR STATUS
All users of TradeOff are independent contractors and not employees, partners, agents, or joint venturers of TradeOff or of any other user. TradeOff does not supervise, direct, control, or set the hours, methods, or means of any work performed through the platform. Each user is solely responsible for:
• Their own business operations, tools, and equipment
• Carrying appropriate liability insurance and workers' compensation coverage where required by law
• Paying their own taxes, including self-employment taxes
• Compliance with OSHA and all applicable workplace safety regulations
In all states where TradeOff currently operates, users are recognized as independent contractors under applicable state law. These states apply an economic realities test or modified independent contractor standards that recognize skilled tradespeople who control their own methods, set their own schedules, use their own tools, and offer services to multiple clients as independent contractors — not employees of any platform.
• Texas: Texas Workforce Commission applies an economic realities test. TradeOff does not control work methods, hours, or tools.
• Florida: Florida's independent contractor framework (Fla. Stat. § 440.02) recognizes skilled tradespeople who control their own operations.
• Nevada, Wyoming, South Dakota, Tennessee, Idaho, Montana: These states apply modified independent contractor standards consistent with the platform model used by TradeOff.

3. TRADE LICENSING DISCLAIMER
Each tradesperson is solely responsible for obtaining, maintaining, and keeping current all licenses, permits, certifications, registrations, and bonds required by federal, state, and local law for the work they perform.
TradeOff does NOT:
• Verify that any user holds a valid license
• Guarantee that any displayed license information is current or accurate
• Verify insurance coverage
The Trade Trust score and credential tiers (Skilled Apprentice, Journeyman, Master Contractor) are internal reputation indicators based on peer reviews and platform activity. THEY ARE NOT PROFESSIONAL LICENSES and should not be represented as such.
Contractor licensing thresholds for TradeOff's current operating states:
• Texas: No statewide general contractor license for most residential work. Electrical (TDLR), HVAC and refrigeration (TDLR), and plumbing (TSBPE) require state licenses regardless of project size. Local municipalities may impose additional requirements.
• Florida: State certification or registration required for most contracting work (Fla. Stat. Ch. 489). Specialty trades (electrical, plumbing, HVAC) require state licenses regardless of project size.
• Nevada: Contractor license required for any project where combined labor and materials exceed $1,000 (NRS Ch. 624).
• Wyoming: Electrical, plumbing, and gas-fitting require state licenses. Local permitting requirements apply for structural work.
• South Dakota: Electrical and plumbing require state licenses. No statewide general contractor license.
• Tennessee: Home Improvement Contractor registration required for projects over $3,000 (Tenn. Code Ann. § 62-6-501 et seq.). Electrical, HVAC, and plumbing require state licenses.
• Idaho: Electrical, plumbing, and HVAC require state licenses (Idaho Division of Building Safety). Contractor registration required for public works projects over $50,000.
• Montana: Most construction work requires contractor registration with the Montana Department of Labor and Industry. Electrical, plumbing, and specialty trades require separate licenses.
Tradespeople are solely responsible for verifying all licensing, bonding, insurance, and permitting requirements for their specific trade, county, and locality before performing any work.

4. NO WARRANTY ON WORK QUALITY OR SAFETY
TRADEOFF MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY WORK, SERVICE, OR ITEM EXCHANGED THROUGH THE PLATFORM. ALL SERVICES AND ITEM TRADES ARE PROVIDED "AS IS" AND AT THE USER'S SOLE RISK.
Users agree to:
• Inspect all completed work before accepting or signing off
• Refuse work that appears unsafe or does not meet agreed specifications
• Resolve disputes directly with the other party or through the in-app dispute process
• Not hold TradeOff liable for any injury, property damage, or financial loss arising from a work arrangement
The disclaimer of warranties in this Section is enforceable under the laws of Texas, Florida, Nevada, Wyoming, South Dakota, Tennessee, Idaho, and Montana for both commercial and consumer transactions, except as otherwise required by mandatory state law. Nothing in this Section disclaims TradeOff's liability for personal injury or property damage caused by TradeOff's own gross negligence or willful misconduct.

5. BARTER TRANSACTIONS AND TAX OBLIGATIONS
The IRS treats barter transactions as taxable income at the fair market value of the goods or services received (IRS Publication 525). This applies to skill-for-skill and skill-for-item trades conducted through TradeOff. Users are solely responsible for:
• Determining the fair market value of all bartered services and items
• Reporting barter income on their federal and state tax returns
• Paying all applicable income taxes, self-employment taxes, and sales taxes
• Maintaining records of barter transactions for tax purposes
TradeOff does not provide tax advice. Consult a qualified tax professional regarding your obligations.
State income tax treatment of barter income in TradeOff's current operating states:
• Texas, Florida, Nevada, Wyoming, South Dakota, Tennessee: These states impose no personal income tax. For residents of these states, barter income is subject to federal income tax only (IRS Publication 525).
• Idaho: Barter income is taxable at the state level as ordinary income under Idaho law. Idaho residents must report the fair market value of all goods and services received through barter on their state income tax return.
• Montana: Barter income is taxable at the state level. Montana residents must report barter income on their Montana state income tax return at the fair market value of goods or services received.
Federal 1099-B reporting: TradeOff becomes subject to federal barter exchange reporting requirements under 26 CFR § 1.6045-1 once it facilitates 100 or more member transactions per calendar year. Once that threshold is crossed, TradeOff will issue IRS Form 1099-B to members as required by federal law. TradeOff will notify users before this obligation arises.

6. ITEMS FOR TRADE
Items listed in the Items for Trade section are physical goods offered by individual users in exchange for skilled work. TradeOff makes no representation regarding the condition, value, title, or legality of any listed item. Users are responsible for:
• Accurately describing items, including known defects
• Ensuring they have the legal right to transfer the item
• Verifying item condition before completing any exchange
Peer-to-peer trade and resale of most used goods is broadly permitted in the states where TradeOff currently operates. Users are solely responsible for compliance with all applicable federal, state, and local laws for specific item categories, including but not limited to:
• Firearms: Federal law governs all firearm transfers regardless of state; transfers must comply with 18 U.S.C. § 922.
• Food items: Subject to state and local health department regulations in all operating states.
• Items requiring title transfer (e.g., motor vehicles, watercraft): Title must be properly transferred under state law.
Listing fees are non-refundable once the listing is submitted. Do not list any item whose transfer would violate applicable law.

7. PAYMENTS AND PLATFORM FEES
All in-app purchases on TradeOff — including the per-item posting fee and paid Menge a Trade access — are processed exclusively through Google Play Billing. By making an in-app purchase, you agree to the Google Play Terms of Service. TradeOff is not responsible for errors, delays, or failures by Google Play.
Payments between TradeOff users for off-app, real-world services (i.e. work performed in person between tradespeople, outside the platform) are NOT processed by TradeOff. Users arrange any such monetary payments directly between themselves, at their own risk.
Platform fees are disclosed prior to each transaction and are non-refundable except as required by applicable law.
TradeOff does not hold, transfer, or intermediate monetary value between users. TradeOff is not a money services business (MSB) under FinCEN guidance (31 CFR § 1010.100(ff)) and does not trigger money transmission licensing requirements under the laws of any state in which it currently operates.

8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEOFF AND ITS OWNERS, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, PROPERTY DAMAGE, PERSONAL INJURY, OR DATA LOSS, ARISING FROM YOUR USE OF THE PLATFORM OR ANY WORK ARRANGEMENT MADE THROUGH IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TRADEOFF'S TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TRADEOFF IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
This limitation of liability is enforceable under the laws of Texas, Florida, Nevada, Wyoming, South Dakota, Tennessee, Idaho, and Montana. Nothing in this Section limits TradeOff's liability for: (a) death or personal injury caused by TradeOff's gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under mandatory applicable state law.

9. DISPUTE RESOLUTION
BINDING ARBITRATION AND CLASS ACTION WAIVER
Any dispute, claim, or controversy arising from or relating to these Terms or your use of the TradeOff platform that cannot be resolved informally shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.
YOU AND TRADEOFF EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
Arbitration agreements and class action waivers are enforceable under the laws of Texas, Florida, Nevada, Wyoming, South Dakota, Tennessee, Idaho, and Montana.
These Terms are governed by the laws of Florida, without regard to its conflict-of-law provisions. If any portion of this arbitration agreement is found unenforceable, the remaining provisions of these Terms shall remain in full force and effect.
Users are encouraged to first attempt to resolve disputes through TradeOff's in-app reporting tools. TradeOff reserves the right but not the obligation to investigate reported disputes.

10. CHANGES TO THESE TERMS
TradeOff reserves the right to modify these Terms at any time. Material changes will be communicated through the app. Continued use of the platform after notice of changes constitutes acceptance of the revised Terms.
